FAISA CONSTITUTION AND BY LAWS
CONSTITUTION of the FLORIDA ASSOCIATION OF INSTRUCTIONAL SUPERVISORS and ADMINISTRATORS A Department of the FLORIDA ASSOCIATION OF SCHOOL ADMINISTRATORS
ARTICLE I - NAME
| Section 1. |
The name of this organization shall be the Florida Association of Instructional Supervisors and Administrators (FAISA), a department of the Florida Association of School Administrators (FASA). |
ARTICLE II - PURPOSES AND OBJECTIVES
| Section 1. |
The purposes and objectives of the Association shall be:
- To stimulate professional growth and development among instructional supervisory and administrative personnel.
- To foster the role of supervisors and administrators in the promotion of more effective learning for students.
- To disseminate information about and promote the role of instructional supervisory and administrative personnel.
- To become involved in pending legislation affecting education.
- To promote the purposes and objectives of FASA.

ARTICLE III - MEMBERSHIP
| Section 1. |
Anyone who is engaged in an instructional supervisory or administrative assignment or who has administratively related responsibilities at the state, county, or local school level shall be eligible for regular membership in FAISA. No person who is represented by a union as a bargaining agent with an employer is eligible for membership regardless of position. In questionable cases, certification of a potential member's status should be obtained from the employer. |
| Section 2. |
Anyone who is not eligible for regular membership under the conditions set forth in Section 1 Article III may become an associate member by an affirmative vote of FAISA Board of Directors. |
| Section 3. |
Any person meeting the requirements of section 1. Article III and who pays a regular, retired, aspiring administrator, college/university/private school administrator, honorary, institutional, associate or commercial membership as provided for in Article III Membership of the FASA Constitution automatically includes membership in the FAISA Department. The provisions of eligibility to vote and hold office shall be the same as the FASA Constitution. |
ARTICLE IV - DIVISIONS
| Section 1. |
FAISA shall be composed of Divisions representing groups of similar interest. |
| Section 2. |
A group of similar interest may petition for recognition as a Division of FAISA when the group meets the following criteria:
- The group has a written constitution, by laws, or organizational guidelines.
- The group has elected officers.
- The group has membership from several counties and membership is open on a statewide basis.
- The membership of the group shall meet the criteria as stated in Article III, Section 1, of this Constitution.

| Section 3. |
Groups of professionals of similar interest may be assigned divisional status when recommended to and approved by the FAISA Board of Directors and the FASA Board of Directors. |
ARTICLE V - ADMINISTRATION
| Section 1. |
The officers and directors of this Association shall be President, Past President, President-Elect, Secretary, Treasurer, and one Director from each member division. The Director shall be appointed by the president or board of their sponsoring division. The Director appointed must meet the requirements of Section 1 Article III. |
| Section 2. |
These officers shall be elected by majority vote using mailed ballots prior to the annual meeting. The election procedures shall be established in the By-Laws. Officers shall hold office for a one year term beginning with the annual meeting. Officers may succeed themselves in office. |
| Section 3. |
The retiring President shall become Past President and President-Elect shall become President. A vacancy, except in the position of President, shall be filled by the Board of Directors until the next annual meeting. In the case of a vacancy in the position of President, the Past President shall become president for the remainder of the unexpired term. In the event of a vacancy in the position of Director, the appointment shall be made by the president of the member division for the remainder of the unexpired term. |
| Section 4. |
The Directors of the Association, as defined in Section 1 Article V, shall be appointed for a term of two years and may be appointed for additional years. |
| Section 5. |
Management of the affairs of this Association shall be vested in a Board of Directors consisting of the elected officers and directors as named in Section 1. Article V. An Executive Committee composed of the elected officers may handle matters requiring emergency action and may recommend other specific matters to the Board for its consideration. The Board of Directors will establish procedures for its management. |
| Section 6. |
The President, Past President, and President-Elect of the Association shall serve as FAISA representatives on the FASA Board of Directors. |
ARTICLE VI - MEETINGS
| Section 1. |
Meetings of this Association shall be an annual meeting to be held at a time and place determined by the Board of Directors or as authorized by the members of FAISA. |
| Section 2. |
Special meetings of the Association may be called by the President upon approval of the Board of Directors. |
| Section 3. |
The Board of Directors shall hold a minimum of three meetings annually. Special meetings of the Board of Directors may be called by the President. |
ARTICLE VII - AMENDMENTS
| Section 1. |
This Constitution may be amended at any regular or special meeting of the Association by a vote of two-thirds of the regular members present, provided that a written notice of the proposed amendment has been presented to the President and Secretary sixty days prior to the meeting and mailed to the membership thirty days prior to the date set for such meeting. |
ARTICLE VIII - BY LAWS
| Section 1. |
By-Laws or changes in the By-Laws may be proposed in writing by any member of the organization in the regular meeting of either the membership or Board of Directors. |
| Section 2. |
By-Laws proposals or amendments will be mailed to all directors and officers and will be considered at the next meeting of the Board of Directors. The By-Law proposal or amendment may be adopted by a two-thirds vote at the meeting or any subsequent announced meeting of the Board of Directors. |
BY - LAWS
ARTICLE I - DUES
| Section 1. |
The annual membership dues are included in dues paid to FASA. FASA shall remit to FAISA $25 per member or the amount approved by the FASA Board. FAISA shall remit $10 per member to the members division or the amount approved by the FAISA Board. |
ARTICLE II - ELECTION PROCEDURES
| Section 1. |
The president shall appoint a nominating committee approved by the Board of Directors and made up of members representing different divisions with no more than one member from a division. The report of the nominating committee shall be presented to the Board of Directors and approved on or before June 1.
The nominating committee shall follow these timelines:
- March--survey Association members for nominations.
- April--receive nominations and prepare ballot.
- May--ballots mailed and received back from Association members.
The nominating committee shall present at least one or more candidates for each office of the Association as chosen from the names nominated from the general membership. If no nomination is made for an office, the nominating committee shall propose one or more candidates. If possible, persons should be from different divisions and different geographic areas. Consideration should be given to active members of the Board of Directors.
In the event the President is nominated and elected for a second term, the President-Elect position and the Past President position shall also continue for a second term. |
| Section 2. |
Procedures shall be established by the Board of Directors that will permit counting of the ballots at least fifteen days prior to the annual meeting. |
| Section 3. |
The President shall appoint a committee to certify and tabulate the ballots and validate the election. |
| Section 4. |
Results of the election of officers shall be presented at the first business session held during the annual meeting. |
ARTICLE III - DUTIES OF OFFICERS
| Section 1. |
President - It shall be the duty of the President to call meetings of the Board of Directors of the Association. |
| Section 2. |
Past President - It shall be the duty of the Past President to preside in the absence of the President. |
| Section 3. |
President-Elect - It shall be duty of the President-Elect to serve as a member of the Board of Directors and assume such responsibilities as may be assigned by the President or Board of Directors. |
| Section 4. |
Secretary - It shall be the duty of the Secretary to keep all records, to attend to the correspondence, and to perform such other duties as pertain to that office. |
| Section 5. |
Treasurer - It shall be the duty of the Treasurer to collect dues, pay all bills approved by the Board of Directors, and keep all funds belonging to the Association. He or she may purchase certificates of deposit in the name of the Association in $1,000.00 lots when funds are available. |
ARTICLE IV - COMMITTEES
| Section 1. |
Members of the following committees shall be recommended by the President and approved by the Board of Directors. Committee membership shall be representative of the various divisions of FAISA.
- Finance. To recommend an annual budget to the Board of Directors and submit an annual inancial report.
- Membership. To make and execute plans for encouraging membership in the Association.
- Nominating. To recommend candidates for officers of the Association.
- Legislative. To consider special needs of the Association and to make recommendations to the Board of Directors regarding needed or pending legislation.

ARTICLE V - QUORUM
| Section 1. |
Members attending a meeting of the Association, with a minimum of five in attendance, shall constitute a quorum. |
| Section 2. |
A majority of the members of the Executive Committee shall constitute a quorum of the body. |
| Section 3. |
Twenty-five percent (25%) of the members of the Board of Directors attending a called meeting shall constitute a quorum of that body. |
ARTICLE VI - PARLIAMENTARY LAW
| Section 1. |
On all questions of parliamentary law, Roberts' Rules of Order, revised shall be the authority. |
ARTICLE VII - EFFECTIVE DATE
| Section 1. |
This Constitution and By-Laws shall become effective 30 days following the date of their adoption. |
