CONSTITUTION AND BYLAWS
Article I
NAME |
| Section 1: |
The name of this organization shall be the Florida
Chapters of the National Honor Society |
Article II
PURPOSE |
| Section 1: |
The purpose of the organization shall be to create
enthusiasm for scholarship, to stimulate a desire to render service, to
encourage a concern for character development and to advance the work of
National Honor Society among all Florida chapters. |
Article
III
Jurisdiction |
| Section 1: |
The FCNHS shall operate under the jurisdiction of the
Florida Association of Secondary School Principals (FASSP):

| Section 2: |
The Executive Director of the FCNHS shall be appointed
by the FASSP. |
| Section 3: |
With the advice and consent of the sponsoring agency, the FCNHS Executive
Director in conjunction with the FCNHS Executive Board shall approve all major
policy decisions in accordance with the constitution. |
| Section: 4 |
Neither the Executive Director of the FCNHS, nor the leadership of the
sponsoring agency will serve as an appeal board for school chapter non-selection
or dismissal cases. |
| Section 5: |
No decision of the Florida Association of Secondary School Principals shall
conflict with the national policy concerning all organizations of the National
Honor Society and contained in the official NHS handbook. |
| Section 6: |
The FCNHS Executive Board. This board shall exercise general control of the
FCNHS and coordinate the activities of the association in conjunction with the
Executive Director. This board will be responsible to the FASSP and the Florida
Association of School Administrators. |
| Section 7: |
There shall be eleven (11) members of the FCNHS Executive Board, A student
representative and sponsor from each of the FCNHS elected officer schools and
the Executive Director. |
Article IV
Membership in the
FCNHS |
| Section 1: |
Membership in the FCNHS will be open to all Florida
National Honor Society and National Junior Honor Society Chapters. |
| Section 2: |
A member school shall be defined as any middle or high
school, which has paid its annual state dues to the FCNHS. Only member schools
are entitled to attend the FCNHS State Convention or to enter in any FCNHS
competition. |
| Section 3: |
Beginning with the second semester (defined as the second 90 day period) of
the of the 2006-2007 school year, the minimum academic eligibility will be at
least an unweighted 3.00 cumulative grade point average as defined by the member
school’s grading policy. |
Article V
Dues |
| Section 1: |
Annual dues for each school shall be fifty dollars
($50.00). |
| Section 2: |
Dues shall be paid to the FCNHS on or before November
1. A late fee of thirty dollars ($30.00) shall be assessed for dues received
after the due date. |
Article VI
Officers |
| Section 1: |
Member schools, not individual students, elected at
the FCNHS State Convention shall be the official office holders. |
| Section 2: |
The officer schools of the FCNHS shall be President,
Vice-president, Secretary, Treasurer and Parliamentarian. |
| Section 3: |
The President, Vice-president, Secretary and
Parliamentarian shall be elected and inducted on the last day of the annual
State Convention. |
| Section 4: |
The Treasurer School will be appointed by the
Executive Director with the advice and consent of the FCNHS Executive
Board. |
| Section 5: |
The officers shall serve a one-year term. New officers
will assume their offices at the conclusion of the State Convention and
out-going officers duties will end at the completion of their tasks regarding
the State Convention. |
| Section 6: |
A vacancy in an office shall be filled by appointment
of the Executive Board. Consideration shall be given to the runner-up candidate
from the previous election. |
| Section 7: |
A school may hold only one position on the FCNHS
Executive Board. |
Article VII
Duties of
Officers |
| Section 1: |
The duties of the officers of the FCNHS shall be those
described in Roberts Rules of Order, Newly Revised and those specifically
defined in this Article:
- The student representing the President School shall:
- Preside at all Executive Board and State Meetings
- Appoint Committees.
- Recommend District Coordinators as deemed necessary, subject to the approval
of the Executive Board and the Executive Director.
- Request of the Executive Director an auditing of he financial records.
- Make a “State of the Association” address at the state convention.
- Enforce and abide by the Constitution of the FCNHS.
- The student representing the Vice-president School shall:
- Assume total responsibility for the publication and distribution of
the FCNHS newsletter, The Keystoner.
- Preside at any meeting in the absence of the President
- Enforce and abide by the Constitution of the FCNHS.
- The student representing the Secretary school shall:
- Keep a permanent record of the minutes of each meeting.
- Provide a copy of all minutes to each Executive Board member within two
weeks following each meeting.
- Compile a summarized report of convention activities and meeting results,
which are to be sent to all member schools through The Keystoner.
- Maintain an up-to-date record of all district activities.
- Enforce and abide by the Constitution of the FCNHS.
- The student representing the Treasure School shall:
- Assume responsibility, along with the convention host advisor, principal and
the Executive Director for matters pertaining to the state convention.
- Present to the Executive Director of the FCNHS an itemized report of the
convention costs. Reports are to be completed within thirty (30) days of the
completion of the convention and shall carry the signature of the student,
advisor and principal of the Treasurer school.
- Enforce and abide by the Constitution of the FCNHS.
- The student representing the Parliamentarian school shall:
- Act as the source of parliamentary information for the FCNHS.
- Enforce and abide by the Constitution of the FCNHS.

| Section 2: |
All officers shall maintain a written account of their
official activities performed during their term of office. This cumulative
record shall be turned over to the succeeding officer before the adjournment of
the State Convention. A copy of the record shall be given to the Executive
Director. |
| Section 3: |
All officers shall contribute articles to be used in
The Keystoner. |
| Section 4: |
The Executive Board shall determine the rules
governing the annual FCNHS Brain Brawl Competition. |
Article VIII
Election of Officers

| Section 1: |
Any FCNHS member school shall be considered for FCNHS
office is an intent-to-run letter, signed by the advisor and the principal, is
returned to convention host and a duplicate sent to the Executive Director at
least thirty (30) days prior to the State Convention. |
| Section 2: |
All candidates for office must be in attendance at the
State Convention. |
| Section 3: |
Nominations for elected office shall be made from the
floor during the first business session of the State Convention. Schools seeking
office may not nominate themselves and the eligibility to be nominated shall be
contingent on the official slate of candidates determined by intent-to-run
letters. |
| Section 4: |
Nomination speeches shall be limited to two (2)
minutes. |
| Section 5: |
Acceptance speeches shall be limited to three (3)
minutes. |
| Section 6: |
In the absence of a candidate for any office,
nominations for that office can be accepted from the floor provided that the
school to be nominated can produce proof of their advisor’s and principal’s
approval. |
Article IX
Executive Board

| Section 1: |
The FCNHS Executive Board shall consist of one student
and the advisor from the President, Vice-president, Secretary, Treasurer and
Parliamentarian schools and the Executive Director. |
| Section 2: |
The Executive Board shall conduct the business of the
FCNHS during the interim between State Conventions. |
| Section 3: |
The Executive Board shall conduct all business meeting
for the State Convention. |
| Section 4: |
There shall be at least two (2) Executive Board
meetings per year. |
| Section 5: |
All eleven (11) members of the Executive Board shall
have one vote each. |
| Section 6: |
At all Executive Board meetings a quorum shall consist
of the representatives from three officer schools. The Executive Director or
designee must be present for any vote to be taken. At least three (3)
affirmative votes shall be necessary to carry any issue. |
| Section 7: |
The Executive Board and any approved consultants shall
be entitled to reimbursement for budgeted expenses during the year, subject to
the approval of the Executive Director. |
Article X
Executive
Director |
| Section 1: |
The Executive Director shall:
- Keep all permanent records and materials.
- Act as a clearinghouse and source of information on all activities related
to the state organization.
- Provide for the preparation and distribution of materials and correspondence
of state interest.
- Submit dates for the State Convention, district meetings and Executive Board
meetings to the FASA office Calendar Committee.
- Submit a budget for the coming year to each member school.
- Act as a liaison between the FCNHS and the FASSP board, the National Office
and other state associations.
- Distribute and collect all membership applications and dues.
- Approve all expenditures.

Article XI
Parliamentary
Authority |
| Section 1: |
Robert’s Rules of Order, Newly Revised shall govern
this association where they are applicable and consistent with this
constitution. |
Article XII
Procedure for
Amendment |
| Section 1: |
Proposed amendments to this constitution shall be sent
to the Executive Director at least thirty (30) days prior to the convening of
the State Convention. |
| Section 2: |
The Executive Director shall forward copies of the
proposed amendments to all member chapters at least fifteen (15) days prior to
the convening of the State Convention. |
| Section 3: |
Ratification of proposed amendments will require a
two-thirds vote of the member schools at the State Convention. |
| Section 4: |
The Executive board may adopt a constitutional
amendment by unanimous vote and it shall be in effect immediately upon such
adoption and remain in effect until the next State Convention at which time it
must be voted on by the delegates. |
Article
XIII
Dissolution |
| Section 1: |
In the event of dissolution, the residual assets of
this association shall be turned over to one or more associations or
organizations which are themselves tax exempt as associations or organizations
as described in Sections 501 (c) (3) and 170 (c) (2) of the Internal Revenue
Code, or the Federal, State or local government for exclusive public
purpose. |
Article XIV
Limitation of
Power |
| Section 1: |
The authority of this organization to operate and
conduct business as the Florida Chapters of the National Honor Society is
granted by the Florida Association of School Administrators and the Florida
Association of Secondary School Administrators. |
BYLAWS
Article I
State
Convention |
| Section 1: |
The annual State Convention shall be held sometime
between January 1 and the end of the first full week in February of the current
school year. |
| Section 2: |
The specific dates for the State Convention shall be
determined by the host school with the approval of the Executive
Director |
| Section 3: |
All FCNHS member schools shall be eligible to send
delegations to the State Convention. The maximum number of delegates allowed per
school shall be determined by the convention host. If a school is a member of
the FCNHS Executive Board, that student and advisor will not count as part of
the schools delegation. |
| Section 4: |
Only member schools that have paid state dues shall be
eligible to send a delegation to the State Convention. The Executive Director
will provide the host school with a current list of FCNHS member
schools. |
| Section 5: |
Until changed by the membership, convention host
schools will be selected from the counties bordering the Interstate 4 corridor,
stretching from Daytona Beach to the Tampa/St. Petersburg area. |
| Section 6: |
The host chapter shall, with the approval of the
Executive Board and the Executive Director, be responsible for:
1. Planning the program of activities, speakers and menus.
2. Determining
Convention registration fees.
3. Determining the number of delegates per
school.
4. Appointing a state Treasurer.
5. Selecting judges for various
competitions. |
| Section 7: |
The responsibilities of the Executive Board for each
State Convention shall be:
1. To determine the criteria to be used in selecting the winners of
awards.
2. To conduct all business meetings of the State
Convention. |
Article II
Voting |
| Section 1: |
All votes for candidates, constitutional amendments
and bylaws at the annual
State Convention shall be conducted by secret ballot
with each member school
present having one vote. |
| Section 2: |
Member schools must be present at the meeting at which
a vote is taken. No
proxy votes may be cast. |
| Section 3: |
Officer schools must be elected by a majority vote. If
a candidate school does not
receive a majority vote a run-off election shall
be held between the two candidates
receiving the greatest number of
votes. |
| Section 4: |
At the State Convention, a quorum shall be fifty (50)
percent plus one (1) of the
total number of member schools registered to
attend the convention and a
majority vote of a duly constituted quorum shall
be required for the passage of
any issue except a constitutional
amendment. |
Article III
Brain
Brawl |
| Section 1: |
The FCNHS will conduct an annual Brain Brawl
Tournament in the spring of each school year. |
| Section 2: |
All member schools will be eligible to enter a team of
no more than eighth (8) members in the tournament. |
| Section 3: |
There will be no registration or entry fee charged for
participation in this tournament. |
| Section 4: |
All of the members of a Brain Brawl Team must be from
the same school and must be members in good standing of their school’s NHS
chapter. |
| Section 5: |
Dependent upon the financial status of the FCNHS, the
Executive Board may approve the expenditure of funds to purchase meals for the
participating teams. |
| Section 6: |
The host school, competition schedule and rules shall
be established by the Executive Board and published in The
Keystoner. |
Article IV
Chapter
Reports |
| Section 1: |
All chapters shall send a membership list for the
previous year with their
enrollment form and dues check. |
| Section 2: |
All chapters shall send to the District Secretary a
semi-annual report on January 15 and May 15 and shall include the following
information:
1. Number of members.
2. Estimated number of members at the time of next
report.
3. Frequency of meetings.
4. List of projects undertaken since the
time of the last report.
5. List of planned projects for coming semester and
brief explanation of each.
6. List of next year’s
officers. |
| Section 3: |
The District Secretary shall send to the Recording
Secretary and the Executive Director Leadership a semi annual report by January
31 and May 30, which shall include the following:
1. Names and memberships for each chapter in district.
2. Names of active
chapters and memberships.
3. Names, addresses, and phone numbers of all
district officers and advisors.
4. List of all district projects that have
been undertaken from the last report and a brief explanation of each. The May
report should include the next year’s officers.
5. Planned projects and a
brief explanation of each.
6. Schedule of district meetings held and those
planned.
7. Outstanding projects that merit attention of The
Keystoner. |
Article V
District
Meetings |
| Section 1: |
All districts shall hold at least two (2) meetings.
Dates for meetings other than those set by the FASSP shall be set by the
district president and shall be sent to all NHS chapters at least one (1) week
in advance. |
| Section 2: |
All district elections shall be held prior to the
State Convention. District officers shall assume office and serve concurrently
with the school year July 1 through June 30. |
| Section 3: |
District officers shall consist of at least a
President, Vice-President, Secretary and Treasurer. |
| Section 4: |
Each District Secretary shall send to the Recording
Secretary and the Executive Director a copy of the minutes from every district
meeting within ten (10) days of the meeting. A copy of the District Constitution
shall be sent to the Executive Director each year. |
| Section 5: |
The advisor of the District President School shall
serve as District Coordinator to coordinate district activities and to function
as a liaison between the State Office and the individual schools within the
district. |
Article V
Advisors |
| All advisors constitute a State Honor
Society Advisors Association to cooperate with the Executive Board. The
executive Director shall coordinate the activities of this association; preside
at all meetings. The advisors shall serve the Executive Director as a consulting
group. |
